Three directors with vast experience involving corporate crises of all types, and the problems facing lead directors and boards generally in times of corporate stress, will discuss roles, duties and governance techniques.
How do you know when you have a crisis on your hands? How has the concept of "lead director" emerged from prior governance and how does it relate to the separation of the CEO and the chair? How does the lead director relate to the board as a whole and to management in time of crisis?
What do you do when option backdating is discovered? When your company is subject to significant adverse national publicity? When you cannot seem to get management succession right? When you wake up to a hostile takeover bid? When the SEC calls? When your CFO blows Regulation FD? When your shareholders sue you? Senior directors of major national corporations will share their specific experiences with you, offer their conclusions as to best governance, and leave you with a "framework" for crisis management. THE PANELISTS:
MARSH CARTER is Chairman of the New York Stock Exchange and Deputy Chairman of the parent company NYSE Euronext. Mr. Carter served as a director of the NYSE since November 2003.
MICHAEL RUETTGERS is Senior Advisor to the EMC Board and to management and is Retired Chairman of the EMC Board of Directors. During his tenure as Chairman, which began January 1, 2004, Ruettgers led all facets of EMC's proactive corporate governance, with a special focus on shaping the composition and expertise of EMC's independent and fully engaged Board. Prior to that, he served as Executive Chairman of EMC's Board for three years and completed his tenure in that position in December 2003.

JEFF CUNNINGHAM is Chairman and Chief Executive Officer of NewsMarkets LLC, a publisher, internet, and conference company targeting global leaders, and publishers of Directorship and Global Proxy Watch. He began his career in 1974 with Business Publications Audit. From there he moved to McGraw-Hill where he became a senior marketing executive with Aviation Week, Medical World News, and rising to SVP for Business Week in 1985.
