Securities Issues in M&A Transactions

On Tuesday, April 27, 2010, from 12:30 p.m. - 1:30 p.m., Megan N. Gates and Scott A. Samuels, both members in the Corporate practice, will present "Securities Issues in M&A Transactions" for the Boston Bar Association’s Securities Law Committee. The presentation will review securities issues that practitioners must consider when advising on an M&A transaction, whether the parties to the transaction are publicly traded or privately held, and will focus on issues relating to the form of consideration to be paid and the use of registration rights; SEC disclosure implications surrounding M&A transactions, including 8-K requirements, prospectus disclosure under Rule 425, and the disclosure regime of Regulation M-A; and structuring considerations, including the use of the tender offer or long-form merger forms, and the potential benefits and drawbacks from an SEC perspective of each.
