We have a long track record of representing Energy and Clean Tech clients in merger and acquisition transactions, as well as in complex reorganizations, and assist clients in a variety of partnership and licensing and arrangements.
Our transactional experience covers everything from initial formation of start-up entities to complex structured transactions that optimize capital structures for large-scale enterprises, including:
- Securities Transactions – We act for companies and for underwriters in public offerings, private placements, PIPES and other financing transactions and have years of experience in the sensitive disclosure issues faced by pre-revenue companies, from early stage venture rounds through follow-on public offerings.
- Venture Capital and Start Up Financings – We represents numerous venture capital firms and other private equity investors as well as a large number of venture capital-backed businesses. Our attorneys understand the venture capital process and have significant experience with the documentation involved in venture capital financings. We understand the standards by which venture capitalists assess ventures, the types and terms of securities involved, and the dynamics of multi-investor groups. Our assessments of legal risks are informed by keen, practical judgment, based on our expertise, experience and resources.
- Project Development – Our team has experience managing all facets of project development and operation including permitting, real estate, procurement, construction, asset management, environmental and federal, state and market (ISO) related regulatory matters, we have supported the successful development, construction and financing of 2000 MW of energy generating facilities.
