Mintz Levin Represents Genelabs Technologies in $57M Deal with GlaxoSmithKline

Boston, MA – Attorneys from Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. Boston and San Diego offices represented Genelabs Technologies, Inc. in a $57 million deal in which GlaxoSmithKline (GSK) will acquire the Redwood City, California company. The acquisition will strengthen GSK's effort to develop and deliver novel therapies against the hepatitis C virus.
Under the terms of the agreement, a subsidiary of GSK has commenced a tender offer to acquire all of the outstanding shares of Genelabs for $1.30 per share. Genelabs' board of directors has unanimously recommended that shareholders tender their shares in the offer. The deal is expected to close in December 2008.
Representing Genelabs Technologies were Mintz Levin corporate members Jonathan Kravetz and Megan Gates and associate Wendy Silverman, from the firm's Boston office. Corporate member Jeremy Glaser and associate Sebastian Lucier, of the firm's San Diego office, also assisted in the transaction.
Other recent transactions conducted by Mintz Levin attorneys include representing Cambridge, Massachusetts-based Vertex Pharmaceuticals Incorporated in a follow on financing which raised approximately $220 million.
