Firm Sees Substantial Growth in Transaction Totals from 2005;
M&A Activity Drives Increase
Boston, MA -- Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., a full-service, approximately 500-lawyer AmLaw 100 firm with offices throughout the U.S. and in the U.K., announced that in 2006 its Corporate Practice closed more than 200 transactions with a value of more than $13.5 billion.
The transactions included:
- More than 80 merger and acquisition transactions totaling more than $12 billion;
- More than 70 venture capital transactions totaling more than $635 million; and
- 13 public offerings, totaling more than $1.2 billion

M&A Transactions:
- Represented Epix (Nasdaq) in its $125 million merger with Predix.
Represented Telx in its sale to GI Partners Fund II LP and GI Partners Side Fund II LP. - Represented Services Acquisition Corp. International, a special purpose acquisition company, in its $265 million acquisition of Jamba Juice Company, a leading retailer of healthy blended beverages, juices and snacks.
Venture Capital Transactions:
- Represented investor syndicate led by General Catalyst Partners in $30 million financing of Mascoma Corporation, one of the most noteworthy clean tech financings of 2006.
- Represented RenaMed Biologics, Inc. in $40 million Series E transaction. Lead investors were TVM Ventures, Lurie-Nephros and MDS Capital.
Public Offerings:
- Represented Viceroy Acquisition Corporation, a special purpose acquisition company ("SPAC"), in its listing on AIM, a market of the London Stock Exchange plc. Underwritten by CRT Capital LLC.
- Represented Altus Pharmaceuticals in its $121 million initial public offering. Underwriters were Merrill Lynch & Co., Morgan Stanley and SG Cowen & Co.
- Represented SG Cowen & Co. as underwriter of the $59.5 million initial public offering of Achillion.
Strategic Collaborations:
- Represented Enanta Pharmaceuticals in collaborative research and option agreement with Abbott Pharmaceuticals.
- Represented Paratek Pharmaceuticals, Inc. in biotech collaboration and license agreement with Merck & Co., Inc.
- Represented Archemix in its collaboration with Elan.
