Contracting

Health care contracting takes place against a backdrop of laws and regulations that may prohibit—or even criminalize—business arrangements and transactions that would be routine in most other sectors. Our goal is to help our clients obtain the desired result while remaining compliant with applicable laws, rules, and regulations. We understand the business of health care, with all of its opportunities and challenges, and bring that knowledge to bear when we represent clients in contract negotiations.

We have extensive experience in negotiating and drafting a full range of contracts, including:

  • professional and administrative services agreements
  • pharmacy rebate agreements
  • managed care network provider agreements
  • group purchasing organization arrangements with members and pharmaceutical companies
  • clinical affiliation agreements
  • clinical trial agreements
  • consulting agreements
  • agreements between copayment assistance programs and their donors
  • agreements covering the donation of electronic health records and e-prescribing technology
  • arrangements for the purchase or lease of space and equipment
  • employment agreements.

As part of a full-service law firm, we can tap specialists throughout the firm with expertise in areas such as employment law and real estate—many of whom have developed substantial experience in health care contracting matters. Working together with our clients, we make sure that their needs, not the contracting process itself, take center stage.
