Debt

Mintz Levin's Debt practice is comprised of a multidisciplinary team of attorneys in such areas of practice as corporate, tax, real estate, public finance, employee benefits, securities, litigation, intellectual property and bankruptcy.

In our role as counsel to lenders and borrowers, we have helped our clients close a large number of sophisticated, high-profile financing transactions. Our attorneys are typically involved in every aspect of these transactions, including structuring, negotiation, due diligence, documentation, lien creation and perfection, subordination, and related matters.

Among the particular areas in which we have expertise are:

  • Senior secured credit facilities
  • Subordinated debt and other mezzanine financings
  • Asset-based working capital facilities
  • Convertible debt, warrants and other equity financings
  • Swaps and other derivative products
  • Credit and liquidity support
  • Workouts and bankruptcy

In addition to conventional commercial lending, we have also represented clients with respect to more complex transactions, including credit and liquidity support devices in connection with securitizations of mortgage loans, automobile loans and leases, equipment leases and other assets. We have the market experience and legal capability to structure and negotiate transactions to meet the requirements of lenders, borrowers and other transaction participants.

Other Areas of Representation

Attorneys in other areas of practice at Mintz Levin frequently call upon members of the Debt practice to assist in representing financial institution clients in matters as diverse as complex litigation, tax, immigration, employee benefits and public finance.
