Corporate & Securities Alert: Federal Appeals Court Vacates SEC’s Proxy Access Rule

The alert discusses the vacating by the US Court of Appeals for the District of Columbia of the Securities and Exchange Commission’s proxy access rule, which was designed to facilitate access by shareholders to public companies’ proxy statements in order to propose nominees for election to boards of directors. The court’s decision is described and its effects on other proxy-related rules issued under the Securities Exchange Act are examined.
